These Terms and Conditions (“Terms”) govern the sale and purchase of products from Trinity Equipment Inc. (“Trinity Equipment”) by customers (“Customers”). By placing an order and purchasing products from Trinity Equipment, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from purchasing products from Trinity Equipment.
1.1 Order Placement: Customers may place orders for products through Trinity Equipment’s website, authorized distributors, or directly with Trinity Equipment’s sales representatives. By placing an order, Customers agree to provide accurate and complete information regarding the order and agree to comply with these Terms.
1.2 Acceptance of Orders: All orders are subject to acceptance by Trinity Equipment. Trinity Equipment reserves the right to accept or decline any order in its sole discretion. The acceptance of an order is confirmed by providing an order confirmation, invoice, or shipment notice to the Customer.
1.3 Pricing and Payment: Prices for products are specified in the order confirmation or invoice. Payment terms and methods will be communicated to the Customer. Customers are responsible for any applicable taxes, duties, or fees associated with the purchase of products.
2.1 Shipment: Trinity Equipment will make reasonable efforts to deliver the products within the agreed timeframe specified in the order confirmation or as communicated to the Customer. Shipment dates are estimates and not guaranteed unless otherwise expressly stated.
2.2 Risk of Loss: The risk of loss or damage to the products passes to the Customer upon delivery by Trinity Equipment to the carrier. Trinity Equipment will not be liable for any loss, damage, or delay during shipment.
3.1 Return Policy: Customers must inspect the products upon receipt and notify Trinity Equipment promptly of any defects or non-conformance. Returns are subject to Trinity Equipment’s Return Policy, which will be provided to the Customer upon request.
3.2 Warranty: Trinity Equipment warrants that its products will be free from defects in materials and workmanship under normal use and service for the warranty period specified in the product documentation or as otherwise communicated to the Customer. The warranty is subject to Trinity Equipment’s Warranty Policy, which will be provided to the Customer upon request.
Trinity Equipment’s liability for any claims arising out of or related to the purchase, use, or performance of its products shall be limited to the purchase price paid by the Customer for the specific product giving rise to the claim. In no event shall Trinity Equipment be liable for any indirect, incidental, consequential, or punitive damages.
Trinity Equipment retains all intellectual property rights in its products. Customers shall not reproduce, modify, distribute, or use Trinity Equipment’s products or any related intellectual property without prior written consent from Trinity Equipment.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Trinity Equipment Inc. is located. Any dispute arising out of or in connection with these Terms or the purchase of products shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
These Terms constitute the entire agreement between Trinity Equipment and the Customer regarding the sale and purchase of products, superseding any prior agreements or understandings.
